Terms of Service

Effective date: May 12, 2026

1. Scope and Acceptance

These Terms of Service apply to Lunar Nova Solutions, a division operated under Lunar Nova LLC. They cover Solutions consulting services, custom software work, website work, data cleanup, automation, software products, licensing, downloads, checkout, and support.

By requesting a quote, purchasing a product, paying an invoice, downloading software, or otherwise using Lunar Nova Solutions services, you agree to these terms. If a signed agreement or statement of work conflicts with these terms, the signed agreement controls for that specific engagement.

2. Services, Estimates, and Scope

Project descriptions, timelines, estimates, deliverables, retainers, and support expectations will be described in writing by email, invoice, quote, proposal, or statement of work. Estimates are based on the information available at the time and may change if scope, data quality, access, technical debt, third-party systems, or requirements change.

Additional work outside the approved scope may require a revised estimate, additional invoice, or separate approval before work continues.

3. Billing, Retainers, and Payment

Invoices are due upon receipt unless another due date is stated in writing. Monthly retainers reserve availability for the agreed billing period and are billed in advance unless otherwise agreed.

  • Retainer fees are non-refundable once the billing period begins.
  • Unused retainer time does not roll over unless agreed in writing.
  • Cancellations must be made before the next billing cycle to avoid future charges.
  • Late invoices may be paused, delayed, or subject to late fees where allowed by law.

4. Refunds and Delivery Warranty

Because Solutions work is custom, digital, and labor-intensive, payments are generally final once work has started, a product has been delivered, or a retainer period has begun.

For custom work, Lunar Nova Solutions provides a 30-day bug warranty after delivery for defects directly related to the approved scope. This warranty covers fixes for scoped functionality. It does not cover new features, changed requirements, third-party outages, third-party breaking changes, hosting issues outside Lunar Nova Solutions control, or client-side edits made after delivery.

5. Client Responsibilities

Clients are responsible for providing accurate requirements, timely feedback, required account access, lawful content, and materials they have the right to use. Delays in feedback, approvals, credentials, source files, or third-party access may delay delivery.

Clients are responsible for backing up their own data unless backup work is explicitly included in the project scope.

6. Software Products and Licenses

Some Solutions products may be sold as downloadable software with a perpetual license for a specific major version. Unless a product page says otherwise, a purchase grants one customer a non-transferable license to use the purchased major version of the software for lawful business or personal use.

  • Critical bug fixes and minor updates within the purchased major version may be included.
  • Future major versions may require a separate purchase.
  • License keys, installers, and download links may not be resold, shared publicly, or redistributed.
  • Reverse engineering, tampering with licensing, or bypassing activation is not allowed except where law expressly permits it.

7. Checkout, Downloads, and Third-Party Services

Product checkout may be processed by Stripe or another payment provider. Payment processors may collect payment details, billing details, fraud prevention signals, and transaction information under their own terms and privacy policies.

Lunar Nova Solutions does not store full credit card numbers. It may store order details needed to fulfill purchases, issue licenses, provide support, prevent abuse, and maintain accounting records.

8. Ownership and Intellectual Property

For custom work, ownership of final client-specific deliverables transfers to the client after full payment unless a written agreement says otherwise. Lunar Nova Solutions retains ownership of pre-existing tools, reusable code, generic components, processes, know-how, templates, libraries, and background technology.

Lunar Nova Solutions may reuse general ideas, methods, utilities, and non-client-specific components developed during a project, provided that confidential client information is not disclosed.

9. Portfolio Use and Confidentiality

Lunar Nova Solutions may reference completed work in portfolios, case studies, or marketing unless the client requests confidentiality in writing before publication. Sensitive business data, credentials, private customer records, and trade secrets will not be shared publicly.

Confidential information shared for a project will be handled with reasonable care and used only to perform the requested services.

10. AI-Assisted Work

Lunar Nova Solutions may use AI-assisted tools to improve speed, drafting, debugging, design exploration, or code review. AI output is reviewed before use in client-facing deliverables. Clients should not provide highly sensitive secrets, credentials, or regulated data unless secure handling has been discussed and approved.

11. No Guaranteed Results

Lunar Nova Solutions aims to provide useful, professional, reliable work, but does not guarantee specific business outcomes, revenue increases, rankings, sales volume, uptime from third-party providers, or compatibility with future third-party changes.

12. Limitation of Liability

To the maximum extent allowed by law, Lunar Nova Solutions and Lunar Nova LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or replacement costs.

To the maximum extent allowed by law, total liability for any claim will not exceed the amount paid for the specific service, product, or milestone giving rise to the claim.

13. Termination

Either party may terminate an ongoing engagement with written notice. The client remains responsible for work completed, committed costs, and approved expenses through the termination date. Lunar Nova Solutions may pause or terminate work for non-payment, abusive conduct, security concerns, unlawful requests, or extended non-responsiveness.

14. Governing Law and Changes

These terms are governed by the laws of the State of Idaho, without regard to conflict of law rules. Disputes will be handled in the state or federal courts located in Idaho, unless applicable law requires otherwise.

These terms may be updated from time to time. The effective date above identifies the current version.
